MEMBER/REPRESENTATIVE
TERMS & CONDITIONS

Effective Date: September 3, 2025

Introduction

These Representative Terms & Conditions (“Terms”) establish the legal framework, duties, restrictions, and protections governing all individuals serving as independent Representatives (“Representatives” or “Reps”) of Savings Highway Global and all associated brands, programs, and platforms operated, controlled, or affiliated with SavingsHighway.com LLC (“Company”).

Reference: These Representative Terms & Conditions expressly incorporate the Member Terms & Conditions. Please click here to review them in full.

These Terms apply to every Representative seeking to earn commissions, bonuses, overrides, or participate in the promotion, referral, or sale of Company products, services, memberships, or opportunities. By applying, registering, onboarding, or operating as a Representative in any capacity, each individual expressly agrees to be bound by these Terms—as well as the Company’s Member Terms & Conditions (incorporated by reference).

PLEASE READ ALL TERMS CAREFULLY. These Terms contain critical waivers, restrictions on earnings representations, mandatory arbitration, limitations on damages, and key compliance requirements mandated by United States and international law.

If anything in these Terms is unclear, consult legal counsel or contact the Company’s compliance team before proceeding. Continued participation in any Representative capacity constitutes full, binding acceptance of these Terms.

Incorporation of Member Terms & Conditions

By accepting this Agreement, the Representative acknowledges and agrees that all provisions, policies, waivers, dispute and arbitration procedures, privacy, and liability limitations found in the Member Terms & Conditions are hereby incorporated by reference and apply fully to all Representatives except where expressly replaced or superseded by a Rep-specific term herein.

In the event of conflict, this Representative Agreement shall control. All claims, waivers, dispute resolution, and data protection policies from the Member Terms are binding on Representatives.

Section 1: Eligibility, Onboarding, and Representative Status

1.1 Eligibility Criteria
Only natural persons who are at least eighteen (18) years of age (or the legal age of majority in their local jurisdiction if greater), legally permitted to work in their country, and not barred due to prior Company expulsion, compliance actions, or legal disqualification may become a Representative.

1.2 Onboarding and Verification
All Representatives must complete the official Company onboarding and verification process, which includes: Digital or written signature of this Agreement; Submission of current, valid, government-issued identification as requested; For U.S. persons, provision of Social Security Number (or equivalent) for required tax reporting.

1.3 Independent Contractor Status
By accepting this Agreement, Representatives acknowledge that they are independent contractors. No employment, agency, or partnership relationship is created. Representatives are solely responsible for their own taxes, expenses, business compliance, and legal filings.

1.4 Training and Certification
Representatives must complete all required Company-conducted or approved training programs (including compliance, ethics, and marketing modules) within specified timeframes as determined by Company policy. Failure to do so may result in suspension, denial of commissions, or loss of Representative status.

1.5 Activation & Commission Eligibility
No Representative may receive commissions, bonuses, or participate in the Company compensation plan until all onboarding, identity verification, and training requirements are met and acknowledged as complete by Company. No Representative is entitled to continued engagement or renewal, and all appointments remain at the sole discretion of the Company. The Company reserves the right to deny, delay, or revoke Representative status at its sole discretion for any compliance failure, fraud, or legal/regulatory risk.

Section 2: Status, Customer Volume, and Commission Eligibility

2.1 Customer and Representative Status
All individuals who join, register, or purchase any Company product, service, or membership are classified as Customers and do not have the right to earn commissions, bonuses, overrides, or participate in the Representative compensation plan until all Representative onboarding, verification, and activation requirements in Section 1 are fully met and acknowledged by Company. Customer status does not confer any right to refer, sponsor, or recruit others for compensation.

2.2 Transition to Representative; Written Acknowledgment
Transition from Customer to Representative is only completed upon successful completion of onboarding, training, and Company’s written or electronic confirmation of active Representative status. Representatives may be required to re-verify eligibility or consent to updated terms at any time to maintain status or commission eligibility.

2.3 Customer Volume Requirements
Representatives must maintain at all times at least as much personal or personally referred Customer sales volume as they have qualifying Representative/downline volume. “Customer volume” is defined as purchases or sales by persons not participating in the compensation plan, not receiving commissions, and not acting as Representatives (including purchases through all Company platforms and benefit programs). Free members making qualifying purchases and business/employee benefit participants count as Customer volume until (and unless) they meet all requirements to become Representatives.

2.4 Direct Sales and Override Commission Policy
Representatives are eligible for direct commissions on sales to retail customers at the time of sale, regardless of the customer’s subsequent actions. If a retail customer later becomes a Representative, any previously paid direct commissions remain earned and are not subject to clawback or forfeiture. When a retail customer becomes a Representative, their prior sales volume will be reclassified as Representative (“downline”) volume. The original Representative must restore customer volume equal to their total Representative/downline volume to maintain eligibility for override and team commissions.

2.5 Grace Period for Customer Volume Matching
Each newly activated Representative will have a grace period of ninety (90) calendar days from the date of initial activation to meet the required personal or personally referred customer sales volume for override and team commissions. During the grace period, override and team bonuses will accrue (“tracked”), but will only be paid if the required customer volume is achieved by the end of the grace period. If the requirement is not met, all such accrued override and team bonuses will be forfeited, and the Representative may be reclassified or suspended for non-compliance. After the grace period, ongoing eligibility for override and team commissions is reassessed monthly: if customer volume falls below downline volume, override and team commissions are immediately suspended until compliance is restored. Direct customer commissions are not affected and are never clawed back.

2.6 Annual Review, Compliance Audit, and Forfeiture
The Company will annually audit each Representative’s customer and downline volume using certified tracking systems and transaction records. Representatives who do not achieve equal or greater personal Customer volume as compared to Representative/downline volume are subject to reclassification as Customers, forfeiture of commission and team bonus eligibility, and may be barred from further compensation plan participation. Reclassified Representatives may reapply and regain eligibility by meeting all volume and onboarding requirements and receiving Company approval.

2.7 Notification and Retroactive Enforcement
The Company will promptly notify Representatives found out of compliance or subject to reclassification by email or member portal announcement. All unpaid commissions, bonuses, overrides, and incentive eligibility may be immediately suspended, canceled, or clawed back until compliance is restored. The Company reserves the right to retroactively audit and recoup compensation for any fraud, volume manipulation, or misrepresentation.

2.8 No Automatic Commission Entitlement
No individual—whether Customer or Representative—is entitled to any commission, override, or bonus solely by enrolling, paying fees, or signing up. All commission payouts are conditional on full compliance, volume verification, and active status as detailed above.

2.9 Change of Sponsor/Upline

The Company maintains strict policies regarding changes to a Representative’s Sponsor or Upline. Once an individual or entity has signed up under a specific Sponsor or Upline, that affiliation is generally considered permanent to preserve the integrity and structure of the organization.

A Representative may request a change of Sponsor or Upline only under rare and exceptional circumstances, such as documented cases of Sponsor fraud, verified ethical violations, or administrative error during enrollment. All such requests must be submitted in writing to Company Compliance, including supporting documentation and a detailed explanation.

The Company reserves sole discretion to approve or deny Sponsor/Upline change requests. Approvals may require the written consent of all directly affected parties and are final and binding. The Company’s decision may not be appealed.

If a Representative wishes to change their Sponsor/Upline for personal or business reasons not qualifying as an exception above, they must submit a written cancellation of their Representative position to the Company. Upon cancellation, the Representative position and all associated rights, commissions (including pending or unpaid commissions), customers, downline, and team members are immediately and permanently forfeited and cannot be recovered or reinstated.

A canceled Representative position cannot be reactivated under any circumstances. After a waiting period of six (6) months (180 days) from the effective date of cancellation, the former Representative may apply as a new Representative under a different Sponsor/Upline, but must do so using a new username and a new email address, subject to all standard onboarding and eligibility requirements. All prior status, commissions, downline, and business assets will remain forfeited.

Representatives may not employ manipulation, inducement, or solicitation to effect upline changes for business or financial advantage. Any attempt to circumvent this policy may result in immediate termination of the Representative Agreement.

Section 3: Representative Conduct, Marketing, and Compliance

3.1 Professional Conduct and Ethics
Representatives must conduct all business, marketing, customer interactions, recruiting, and participation in a lawful, ethical, and honest manner at all times. Prohibited conduct includes, but is not limited to: fraud, misrepresentation, harassment, abuse, discrimination, defamatory remarks, misleading claims, or actions detrimental to the Company, its reputation, or its customers and Representatives.

3.2 Prohibition on Inducing Cancellation or Downgrade
Representatives may not, in any manner—whether verbal, written, or digital—encourage, induce, or suggest that any Customer or Representative cancel, downgrade, reduce, or otherwise diminish their membership, services, or purchases with the Company. Any such activity shall be deemed a material violation of this Agreement. This includes but is not limited to: private encouragement to cancel or downgrade for personal or competitive business advantage, messaging that disparages the value of Company memberships or services to persuade cancellation, or promoting competing offers by suggesting the cancellation of Company participation. Violation of this policy will result in immediate disciplinary action, including suspension, forfeiture of commissions, or termination of Representative status.

3.3 Marketing and Income Claim Restrictions
Representatives may not make, publish, or share any direct or indirect statement, claim, testimonial, advertisement, or image about commissions, income, earning potential, bonuses, or lifestyle outcomes arising from Company compensation or programs, except as expressly set forth in current, Company-approved income disclosure statements or compliance charts required by law. Use of lifestyle imagery (e.g., luxury cars, expensive homes, travel, branded merchandise) to suggest or imply financial results is prohibited unless accompanied by a required, clear Company disclaimer stating such images are for educational/aspirational purposes only and do not guarantee income or results. All promotion, recruitment, or marketing must focus on the product or service value—not potential financial opportunity or gain.

3.4 Approved Marketing Materials, Content, and Branding
Only Company-approved scripts, social media assets, training presentations, promotional content, or marketing materials may be used for any public or private marketing effort. Representatives may not modify or independently create content using Company marks, logos, trade names, or domain names without prior written permission from the Company. No website, email, phone number, domain, or public entity may be published that incorporates, copies, or resembles Company branding without explicit authorization.

3.5 Regulatory, Platform, and Advertising Compliance
Representatives must fully comply with all local, state, federal, and international laws—including but not limited to: Federal Trade Commission (FTC), CAN-SPAM Act, Telephone Consumer Protection Act (TCPA), anti-pyramid, anti-spam, and privacy/consumer protection laws—as well as all platform policies (Google, Facebook, YouTube, etc.). All required opt-outs, unsubscribe requests, and platform compliance demands must be honored. Representatives must respond to timely requests from Company, platforms, or regulators for supporting documentation and compliance review.

3.6 Violation Consequences, Suspension, and Enforcement
Any violation of professional conduct, marketing, advertising, or compliance rules may result in immediate account suspension, forfeiture of commissions, permanent removal from the Company’s programs, legal action, or reporting to regulatory authorities. Company decisions regarding Representative compliance and discipline are final and binding; remedies include the right to claw back commissions, terminate status, and enforce all Member and Rep T&C, privacy, and data handling clauses.

Section 4: Commission Payments, Taxes, and Earnings Disclaimer

4.1 Commission and Bonus Eligibility
Representatives are eligible for commissions, bonuses, and other incentives only after meeting all onboarding, verification, status activation, and customer volume requirements outlined in previous sections. No commission, override, or incentive is due or payable unless the Representative is fully active and compliant at the time payment becomes due.

4.2 Commission Payment Schedule and Seven-Day Hold
Commissions and bonuses are processed and paid weekly on Fridays. All sales and qualifying transactions are subject to a mandatory seven (7) calendar day hold to allow for transaction verification, refund and fraud review, and compliance auditing. Commissions for sales completed by the close of business Thursday in a given week will be paid out on the Friday following the completion of the 7-day hold period. Example: A qualifying sale made on the 1st will be paid out on the 8th (the following Friday; after the hold period). The Company reserves the right to delay or withhold payment for any transaction subject to dispute, refund, regulatory review, or compliance check at its sole discretion.

4.3 Commission Application and Internal Purchases
Representatives may elect to use accrued commission and bonus balances to purchase Company products, services, or to pay for membership renewals, subject to current Company platform rules.

4.4 Payment Information and Responsibility
Representatives are responsible for maintaining current, accurate payment methods and required information. The Company is not responsible for payment delays or failures due to incomplete or incorrect payment details. The Company may require re-verification or updated documentation prior to payment release.

4.5 Periodic Identity and Tax Verification Requirement
For security, fraud prevention, and legal compliance, the Company may periodically require Representatives to re-confirm their Social Security Number (SSN), Tax Identification Number (TIN), or international equivalent before the release of any pending or future commission payments. Representatives will be notified via the Company back office or login system if re-verification is required. Until such requested verification is completed and confirmed, all pending commissions and bonuses will remain on hold. Representatives may update or re-enter their information securely through the official Company platform at any time. Commissions will be released only after successful verification..

4.5 IRS Reporting, Tax Withholding and Legal Compliance
All Representatives are independent contractors for tax purposes. The Company will issue an IRS Form 1099-NEC (or international equivalent) for all U.S. Representatives whose annual aggregate commissions meet or exceed statutory thresholds. Representatives are solely responsible for declaring and paying all taxes owed on their compensation, including federal, state, and local taxes, as well as social security and self-employment taxes. The Company is not required to withhold taxes or make deductions except when legally mandated.

4.6 Commission Payment Disputes, Adjustments, and Clawback
All commission, bonus, or incentive disputes must be submitted to Company support within thirty (30) days of the scheduled or actual payout date. Failure to do so waives all further claims. The Company reserves the right to suspend, adjust, withhold, recover, or claw back payments made in error or obtained through fraud, noncompliance, or ineligibility. All payments, commission records, and incentive awards are subject to annual compliance audit and review; Representatives shall retain any supporting documentation.

4.7 No Guarantee of Earnings
The Company does not guarantee or warrant any specific income, commission, bonus, or financial result to Representatives. Actual earnings depend on individual sales effort, compliance, program results, and external market conditions.

4.8 No Securities Offering, Ownership, or Investment
Nothing in this Agreement, the compensation plan, or any Company materials shall be construed as an offer to sell, or a solicitation to buy, any security or investment contract. Company programs provide access to products and services only and do not constitute an investment, ownership interest, or opportunity for profits based solely on the efforts of others. Participation as a Representative creates no equity, franchise, or security interest of any kind.

Section 5: Suspension, Termination, Dispute Resolution, and Earnings Representation

5.1 Suspension and Termination Rights
The Company reserves the sole and exclusive right to suspend, freeze, restrict, or terminate any Representative’s rights, status, or account—immediately and without prior notice—for any violation of these Representative Terms & Conditions, the incorporated Member Terms & Conditions, Company policies, compensation plan rules, compliance requirements, or for any action that presents a risk of fraud, regulatory enforcement, or legal/liability exposure. Grounds include, but are not limited to: nonpayment, false or incomplete information, fraud, manipulation, improper marketing, unapproved income claims, unauthorized chargebacks, customer or team complaints, harassment, or conduct damaging to the Company, its network, or reputation.

5.2 Notice and Right to Appeal
In cases of involuntary account suspension or termination, Representatives will be notified by email or Company portal message, stating the reason(s) for the action. The Representative has fourteen (14) days from the date of notice to submit a written appeal, including all relevant supporting documentation, via the official Company support channel. The Company will review the appeal and, at its sole discretion, may uphold, amend, or reverse the disciplinary action. All Company decisions are final and non-appealable.

5.3 Effects of Termination
Upon termination (voluntary or involuntary), all rights to receive commissions, bonuses, overrides, or participate in the compensation plan are immediately revoked as of the notice date. Outstanding financial obligations (including clawbacks and chargebacks), return of Company property, and compliance with post-termination provisions remain enforceable. Company may retain Representative account data as required for ongoing legal, audit, tax, and regulatory purposes. There is no guarantee of reinstatement; future participation as a Representative is solely at Company discretion.

5.4 Dispute Resolution; Binding Arbitration; No Class Actions
All disputes, claims, or controversies related to this Agreement, the Member Terms & Conditions, commissions, or the Representative relationship must be resolved exclusively and finally by individual binding arbitration, pursuant to the dispute resolution procedures and class action waivers of Section 15 of the Company’s Member Terms & Conditions, which are incorporated herein by reference. By accepting these Terms, each Representative irrevocably waives any right to participate in a class, collective, or representative action against the Company.

5.5 Absolute Prohibition on Income Claims and Public or Private Earnings Displays
Representatives are strictly forbidden from making, publishing, or sharing any direct or indirect statement, claim, suggestion, endorsement, or visual display relating to income, sales, commissions, bonuses, or earning potential associated with Company participation. This absolute ban includes, but is not limited to: showing personal or third-party commission statements, pay stubs, checks, bank transfers, screenshots, videos, photos of payments or back office balances—even in “private” settings such as groups, chats, messages, phone calls, or offline. Only Company-issued, pre-approved, and fully substantiated earnings disclosures, containing all required disclaimers, may ever be shown—strictly as provided by the Company and in compliance with all FTC requirements. Any violation—including sharing account images, “proof of payment,” or income references—will result in immediate suspension or termination, forfeiture of unpaid commissions, and potential legal or regulatory action. Refer to Section 7 of the Member Terms and the Company’s official policy statements for further detail.

Section 6: Post-Termination, Reapplication, and Company Rights

6.1 Post-Termination Obligations and Effects
Upon termination (whether voluntary or involuntary), all Representative access, rights, participation in the compensation plan, and ability to represent the Company immediately cease. The Representative must promptly return or delete any confidential or proprietary Company materials, training assets, marketing collateral, and member or team data in their possession. Outstanding financial or contractual obligations—such as commissions subject to clawback, unpaid amounts, or Company property—remain enforceable after account closure. No further commissions, overrides, bonuses, or incentives are payable for any period after the effective date of termination. All rights to use Company branding, intellectual property, tools, training platforms, and communication channels also terminate immediately.

6.2 Data Retention, Audit, and Investigation
The Company retains the right, as required by law or regulation, to preserve terminated Representatives’ account and compliance history, including transaction, communication, and compensation records, for regulatory, tax, legal, audit, anti-fraud, or dispute resolution purposes. The Company may continue any audit, review, or investigation relating to the Representative’s activity after termination and enforce remedies as warranted by facts uncovered.

6.3 No Guarantee of Reinstatement or Future Eligibility
Terminated Representatives have no right or entitlement to reinstatement, reapplication, or future relationship with the Company. The Company may, in its absolute discretion, allow a terminated former Representative to reapply under a new agreement, but only after review, satisfactory completion of any corrective actions or restitution, and written approval from an authorized Company executive. The Company reserves the right to decline reapplication or participation for any reason or no reason, as permitted by law.

6.4 Reservation of Ultimate Discretion
The Company’s decisions in all post-termination matters are final, binding, and non-appealable. These post-termination provisions are in addition to any Company rights set forth in the Member Terms & Conditions, which continue to apply in full following the end of Representative status.

6.5 Consequences of Termination or Voluntary Cancellation
Upon termination or voluntary cancellation, the Representative permanently forfeits all commissions, bonuses, overrides, pending earnings, downline customers, enrolled Representatives, sales team members, and any other business assets or rights previously associated with their Representative account. Any unpaid, pending, or earned but unpaid commissions or bonuses as of the termination or cancellation date are unconditionally forfeited, regardless of the reason for termination. All rights to access the Representative back office, customer lists, downline reports, team communications, and Company tools are immediately and permanently revoked. The Representative shall have no further claim or entitlement to any data, business, customer relationships, or compensation after account closure.

6.6 No Reinstatement and Clean-Slate Policy
Once a Representative account is terminated or voluntarily cancelled for any reason, that account, username, and email are permanently ineligible for reinstatement or reactivation. Former Representatives may apply for a new Representative account only after a minimum waiting period of six (6) calendar months from the termination or cancellation date, and must do so using a new username and a new email address, subject to all normal onboarding, approval, and compliance screening requirements. The Company reserves the right to refuse any new application at its sole discretion.

Section 7: Non-Solicitation, Confidentiality, and Non-Disparagement

7.1 Non-Solicitation of Customers and Representatives
For a period of two (2) years following the termination, resignation, or expiration of Representative status, Representatives may not directly or indirectly solicit, recruit, attempt to recruit, or induce any current or former customer, member, or Representative of the Company (including any person known through Company business, communications, or databases) to join or participate in any other direct sales, multi-level marketing, or competing business, regardless of their relationship status with the Company. This prohibition applies in all capacities, whether for the Representative personally or for the benefit of any third party or enterprise, and includes online, offline, and digital interactions, as well as introductions, referrals, or any encouragement to discontinue their Company relationship. The term “solicit” includes any direct or indirect communication, offer, marketing, or enticement (including social media messaging or private outreach) reasonably intended to persuade a Company customer or team member to change, reduce, or terminate their engagement with the Company.

7.2 Confidentiality of Company Information
Representatives must maintain the strict confidentiality of all proprietary, trade secret, financial, business process, customer, team, marketing, technical, and non-public Company information obtained during the course of their relationship with the Company. Confidential Information may not be disclosed to any third party or used for any purpose outside of Company business, whether during or after the Representative relationship, except as expressly authorized in writing by the Company. Confidentiality obligations survive termination and remain in effect as long as the information remains confidential or proprietary by its nature.

7.3 Return or Destruction of Information and Assets
Upon termination, Representatives must promptly return or destroy all Company materials, data, documents, digital files, lists, and contained confidential information, including those stored on personal or third-party devices.

7.4 Non-Disparagement
Representatives may not, during or after the termination of their relationship, make or publish any false, misleading, or derogatory statement concerning the Company, its owners, officers, staff, customers, or other Representatives that would reasonably be expected to damage the reputation or business interests of the Company. This does not bar good-faith communications strictly for the purpose of seeking legal advice, reporting a crime, or participating in lawful regulatory proceedings, in accordance with current US labor law.

7.5 Whistleblower Protection
Nothing in this Agreement—including the confidentiality and non-disparagement sections—shall prevent or prohibit any Representative from reporting suspected unlawful conduct to any government agency, law enforcement, or regulatory authority, or from participating in any investigation or proceeding protected by law. Representatives are not required to inform the Company of such communications where prohibited by law.

7.6 Enforcement and Remedies
Violation of these provisions is grounds for immediate suspension or termination, forfeiture of commissions, and may result in legal claims for injunctive relief, damages, and injunctive enforcement in a court of competent jurisdiction. The Company reserves the right to seek all remedies available at law or equity, including temporary restraining orders and permanent injunctions against further violation.

Section 8: Additional Legal, Intellectual Property, and Compliance Provisions

8.1 Intellectual Property and Use of Materials
All materials, including but not limited to training content, scripts, presentation slides, websites, logos, marks, videos, text, images, and software provided by the Company are the exclusive property of the Company or its licensors. Representatives are granted a limited, revocable, non-exclusive, non-transferable right to use approved Company materials solely for authorized business activities during the term of Representative status. Any copying, modification, public posting, sale, distribution, reverse engineering, or use of Company intellectual property beyond the scope granted herein is strictly prohibited and grounds for immediate termination and legal action.

8.2 Company Review, Monitoring, and Approval Rights
The Company reserves the right to review, monitor, audit, approve, reject, edit, or require removal of any marketing, website, communication, or public statement made by a Representative (or on their behalf) referencing the Company, its brands, products, services, or compensation. Representatives must comply promptly with any Company directive regarding materials, messaging, or the removal of content, whether public or private.

8.3 Regulatory, Tax, and Legal Compliance
Representatives are independently responsible for complying with all applicable laws, rules, tax obligations, and regulations—local, state, national, and international—pertaining to their activities, earnings, and communications. Representatives must not engage in, or assist with, any illegal activities, including those prohibited by anti-money laundering statutes. The Company may amend these Terms, policies, compensation plans, or program requirements at any time to ensure continued compliance with legal, regulatory, or audit standards. Updates will be communicated by Company methods per Section 1 of these Terms.

8.4 Assignment and Relationship
Representatives are independent contractors; no clause in this Agreement will be interpreted as creating a partnership, joint venture, franchise, or employment relationship. Representatives may not assign, transfer, or delegate any of their rights or duties under this Agreement without express written Company consent. The Company reserves the right to assign or transfer these Terms and its rights or obligations at any time without Representative approval.

8.5 Succession, Inheritance, and Assignment of Representative Business
Subject to Company approval and compliance with all relevant laws and the terms of this Agreement, a Representative’s business (including rights to commissions, bonuses, and downline organization) may be transferred to a designated beneficiary or heir upon the Representative’s death or permanent incapacity.

To facilitate succession, the Representative must submit appropriate legal documentation (such as a Last Will and Testament, trust document, power of attorney, or court order) naming the successor/beneficiary. The Company may require additional forms, proof of identity, and agreement to abide by all Company policies from the proposed successor.

The Company reserves the right to:

  • Refuse transfer or reassign the business if the proposed successor does not meet eligibility requirements, does not agree to the Representative Agreement, or is otherwise ineligible to participate;
  • Require completion of training and compliance certifications by the successor prior to succession;
  • Impose limitations or policies governing disputed succession, divorce, or multiple claimants.

If no acceptable successor is designated or claim is not made within 90 days of death/incapacity, the Representative’s business and all associated rights revert to the Company.

Any assignment, transfer, or inheritance of a Representative business is not effective until and unless confirmed in writing by the Company.

8.6 Severability and Survival
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law. All intellectual property, confidentiality, non-solicitation, post-termination, dispute resolution, and Company audit rights survive the termination of Representative status.

Section 9: Notices, Amendments, and Electronic Acceptance

9.1 Notices and Official Communication
All notices, requests, approvals, waivers, or other formal communications required or permitted under this Agreement must be provided in writing and delivered by one or more of the following methods: Email to the last known address on file with Company; Secure message within the Company back office or portal; Personal delivery; Certified or registered mail (with return receipt requested); Nationally recognized overnight courier. Notices are deemed received as follows: By email: upon confirmation of transmission receipt by the Representative or Company. By certified/registered mail: three (3) business days after dispatch. By overnight courier: one (1) business day after shipment. By portal/secure message: upon in-system confirmation or access.

9.2 Representative Responsibility for Contact Information
Representatives are solely responsible for maintaining current, accurate physical, mailing, and email addresses on file and for monitoring all communication channels established by the Company. The Company shall not be liable for failed delivery or non-receipt of notices due to outdated, incorrect, or inaccessible Representative contact records.

9.3 Amendments and Updates
The Company reserves the right to amend, expand, supplement, or restate this Representative Agreement, compensation plan, policies, or addenda at any time, with or without prior notice, in accordance with current law and Section 1 of the Member Terms & Conditions. Amendments become effective immediately upon posting via Company website, notification in the Representative back office, email or other electronic communication. Continued participation as a Representative (including earning commissions or using Company platforms) after such amendments constitutes binding acceptance of all modifications.

9.4 Electronic Signatures and Acceptance
Representatives expressly agree that electronic signatures, checkbox acceptance, typed names, or other forms of electronic assent shall constitute a binding legal signature, enforceable as an original for all purposes of this Agreement, in compliance with state, federal, and international e-signature statutes (e.g., the U.S. ESIGN Act). The Company may require that re-acceptance of updated terms, conditions, or policies be provided by electronic signature as a condition of continued active Representative status.

9.5 Any Representative located outside the United States expressly waives the application of foreign law to this agreement and agrees that U.S. and State of Georgia law shall exclusively govern

9.6 Entire Agreement and Priority
These Representative Terms & Conditions, together with the incorporated Member Terms & Conditions, constitute the entire and exclusive agreement between the Company and Representative and supersede all prior agreements, understandings, or representations (written or oral) regarding the subject matter herein. In the event of conflict between this Representative Agreement and the Member Terms & Conditions or other Company policies, the more restrictive interpretation in favor of Company protection and legal compliance shall apply.

Notice: By applying, registering, or continuing as a Representative, you acknowledge that you have read, understood, and fully agree to be bound by these Representative Terms & Conditions and the incorporated Member Terms & Conditions. If you do not consent, please discontinue use of any Company platforms and notify the Company in writing by email at support@savingshighwayglobal.com and include your full name, username, phone number, and request.
